The restructuring announcement
Berman discusses OpenAI’s May 2025 plan to retain nonprofit control and transition its for-profit entity to a public benefit corporation. He places the announcement in the context of criticism of the restructuring.
OpenAI has revised its restructuring plan amid criticism, including from Elon Musk. In its May 5, 2025 announcement, OpenAI said the nonprofit would continue to control the organization, while the for-profit LLC it has controlled since 2019 would transition to a public benefit corporation. The announced plan retained a for-profit operation; it did not make the entire organization a conventional for-profit company.
Musk’s dispute with OpenAI
Berman recounts disagreements and Musk’s lawsuit. The parties dispute the history and legal claims.
Musk was an OpenAI co-founder and early donor. I discuss disagreements over the company’s direction and control, including his interest in a for-profit structure. OpenAI has said Musk sought majority equity, control and the CEO role in 2017; that is its account of a disputed history, not a finding established by this video.
Musk later sued OpenAI and its leaders, alleging that their direction departed from commitments associated with the nonprofit’s founding. I discuss his objection to the proposed restructuring and the use of resources originally raised for a nonprofit mission. Those are contested legal claims, not a determination of wrongdoing; nonprofit tax treatment also depends on the type of income and applicable rules, rather than a blanket exemption for any money raised.
